The agreement that governs your use of CloudPMO
These Terms are a binding agreement between your organisation and CloudPMO (Pty) Ltd for access to the CloudPMO platform.
Version 1.0.0, effective 12 October 2026. CloudPMO is in pre-launch: no subscription can be purchased and no self-service trial can be started yet.
The parties to this agreement
CloudPMO is operated by CloudPMO (Pty) Ltd ("we", "us", "our"), a private company registered in the Republic of South Africa (Registration No. 2026/792927/07) with its physical address for service of legal documents at 118 2nd Street, Linden, 2195, Johannesburg, and its postal address at PO Box 120, Cresta, 2118. "You" and "Customer" mean the organisation that creates a CloudPMO tenant, and "User" means any individual that organisation authorises to use the tenant.
Legal notices go to legal@antsprojects.co.za. Support requests go through our support route. Privacy matters are handled under our Privacy Policy.
When these Terms apply
These Terms apply from the moment you create a tenant, start a trial, accept an order form, or otherwise use the Service. By doing any of these things you confirm that you are at least 18 years old and that you have authority to bind the Customer. Where an order form or a signed agreement between us and the Customer conflicts with these Terms, the order form or signed agreement prevails for that Customer. If these Terms conflict with an incorporated policy, these Terms prevail.
These Terms incorporate the Privacy Policy, Cancellation & Refund Policy, Trial & Fair Use Policy, Cookie & Consent Policy and the Security page.
What we provide
CloudPMO is a multi-tenant, cloud-hosted project and portfolio management platform. Each Customer receives an isolated tenant in which its Users can plan projects, manage tasks, resources, risks and portfolios, and produce reports. The features available to you are those described on the Features page for your plan at the time of purchase, as qualified there.
- Authentication is delegated to your organisation's Microsoft Entra ID (single sign-on). We do not store passwords.
- We may improve, add, or retire features. Where a change materially reduces core functionality of your plan, we will give at least 30 days' notice by email to the tenant administrator.
- Beta, preview, or early-access features are provided as-is, may change without notice, and are excluded from any service commitment.
- Support is provided in English during South African business hours (08:00–17:00 SAST, Monday to Friday, excluding public holidays) unless your order form says otherwise.
Your responsibilities for your tenant
- You must provide accurate registration and billing information and keep it current.
- Your tenant administrators control who is invited into your tenant, what role they hold, and what data they can see. You are responsible for all activity in your tenant, whether or not you authorised it, unless it results from our breach of these Terms.
- You must keep your identity-provider credentials and administrative access secure and tell us without delay at legal@antsprojects.co.za if you suspect unauthorised access.
- Each User seat is for one named individual or one integration service account. Sharing a seat between people, or using automated means to circumvent seat limits, is not permitted.
What you may not do
You and your Users may not, and may not allow anyone else to:
- access, or attempt to access, another Customer's tenant or data;
- probe, scan, or test the vulnerability of the Service, or bypass any access control, other than through a security-testing arrangement agreed with us in writing;
- upload content that is unlawful, infringes a third party's rights, contains malware, or that you do not have the right to process;
- use the Service to send unsolicited communications or to store or transmit material that violates the Protection of Personal Information Act 4 of 2013 ("POPIA") or any other applicable law;
- reverse-engineer, decompile, copy, resell, sublicense, or create derivative works of the Service, except where South African law expressly allows it;
- use the Service in a way that degrades it for other Customers, including automated bulk requests beyond the limits in the Trial & Fair Use Policy;
- use the Service to build a competing product, or to benchmark it for publication without our written consent.
We may suspend a User, a tenant, or a specific capability without prior notice where we reasonably believe this section has been breached, where continued operation poses a security or legal risk, or where a payment is overdue under section 7. We will restore access once the issue is resolved and will tell you the reason for suspension unless the law prevents us from doing so.
Evaluating CloudPMO before you buy
When trials are available, a new Customer may evaluate CloudPMO free of charge for 14 days. No payment method is required to start a trial. A trial ends automatically on the last day; it does not convert to a paid subscription unless you choose a plan and complete payment. Trial tenants and their data are deleted 30 days after the trial ends unless upgraded. Trial limits, eligibility, and the rules for re-trials are set out in the Trial & Fair Use Policy.
How billing works
- Plans and pricing. Fees are those shown on the Pricing page or in your order form at the time of purchase. Prices are quoted in South African Rand (ZAR) unless your order form or checkout shows another currency. Paddle shows the applicable taxes and total price for international purchases. CloudPMO configures the applicable South African price and tax treatment before Paystack checkout, and CloudPMO's accountant manages VAT/tax payments and reconciliation.
- Billing cycle. Subscriptions are billed in advance for each monthly term. For Customers not governed by section 14 of the CPA, each term renews for a further term of the same length unless cancelled before the renewal date. If you are a natural-person consumer governed by section 14, we give written notice between 40 and 80 business days before the fixed term expires. After expiry, the subscription continues month-to-month unless you end it or expressly agree to a new fixed term.
- International purchases. International purchases are sold by Paddle, our authorised reseller and Merchant of Record. Your purchase transaction is with the applicable Paddle contracting entity under the Paddle Buyer Terms. Paddle handles payment, applicable transaction taxes, and buyer receipts or invoices.
- South African purchases. South African purchases are processed by Paystack. CloudPMO remains the supplier and operator of the Service, and Paystack is a payment processor, not a Merchant of Record. CloudPMO's accountant manages South African accounting, VAT/tax payments and reconciliation. We do not receive or store your full card details.
- Seat changes. Adding seats mid-term is charged pro rata for the remainder of the term. Reducing seats takes effect at the next renewal.
- Price changes. We may change fees for a renewal term by giving at least 30 days' written notice before the renewal date. If you do not accept the new fee, you may cancel before the renewal date without penalty.
- Late payment. If a payment fails, we will notify your tenant administrator and retry. If payment remains outstanding 14 days after the due date we may suspend the tenant, and 30 days after the due date we may terminate it under section 12.
- Refunds. Except where the Consumer Protection Act 68 of 2008 ("CPA") or the Electronic Communications and Transactions Act 25 of 2002 ("ECTA") gives you a right to a refund, all fees are non-refundable. Details are in the Cancellation & Refund Policy.
Your data stays yours
- "Customer Data" means all content, records and personal information that you or your Users enter into, upload to, or generate in your tenant. You retain all rights in Customer Data.
- You grant us a non-exclusive, worldwide licence to host, copy, process, transmit and display Customer Data solely to provide, secure, support and improve the Service for you, and as otherwise required by law.
- For Customer Data that is personal information, you are the responsible party and we are the operator under POPIA (equivalently, controller and processor under the GDPR). We process such data only on your documented instructions, as set out in our Privacy Policy and our Data Processing Agreement, which applies on request.
- You are responsible for having a lawful basis to enter Customer Data into the Service and for giving any notices to your Users that the law requires.
- We may generate aggregated, de-identified usage statistics that cannot identify you or any person, and may use them to operate and improve the Service.
- Customer Data is hosted on Microsoft Azure. Our current sub-processors and hosting arrangements are listed in the Privacy Policy.
- Optional AI-assisted features are off until your tenant administrator enables them. When enabled, the project data needed for each request is sent to our AI provider, listed in the Privacy Policy.
Our commitments and yours
We maintain the security measures described on the Security page, including tenant isolation, role-based access control, encryption in transit and at rest, and an audit log. We will notify your tenant administrator without undue delay, and in any event within 72 hours of becoming aware, of any security compromise affecting Customer Data, and will give you the information you need to meet your own notification duties under section 22 of POPIA. You are responsible for configuring roles and access within your tenant, and for the security of your identity provider and end-user devices.
Ownership and licences
- The Service, its software, documentation, design, trademarks and all related intellectual property belong to CloudPMO (Pty) Ltd or its licensors. No rights are granted other than those expressly set out in these Terms.
- Subject to payment and compliance with these Terms, we grant you a non-exclusive, non-transferable licence for your Users to access and use the Service for your internal business purposes during the subscription term.
- If you give us feedback or suggestions, we may use them without obligation to you, but we will not identify you as the source without your consent.
- Third-party components in the Service remain subject to their own licences, which we will identify on request.
What you can expect
We aim to keep the Service available 24 hours a day, but do not guarantee uninterrupted availability unless your order form contains a service level agreement. We will schedule planned maintenance outside South African business hours where practical and give at least 48 hours' notice of maintenance likely to cause downtime of more than 15 minutes. Emergency security maintenance may occur without notice. A published status and incident history will be provided from launch.
Ending the agreement
- By you. You may cancel your subscription at any time through the manage-subscription link in your payment-provider receipt or customer portal (Paddle for international purchases or Paystack for South African purchases), through any equivalent route in tenant settings, or by written notice to legal@antsprojects.co.za. Cancellation takes effect at the end of the current paid term, subject to the Cancellation & Refund Policy and any rights you have under the CPA.
- By us for cause. We may terminate immediately on written notice if you materially breach these Terms and fail to remedy the breach within 14 days of notice, if fees remain unpaid 30 days after the due date, or if you become insolvent or are placed under business rescue or liquidation.
- By us for convenience. We may terminate on at least 90 days' written notice, in which case we will refund any prepaid fees for the unused period.
- Data export. For 30 days after termination or expiry you may export your Customer Data using the export features of the Service, or ask us for a copy in a common machine-readable format. After that period we delete Customer Data from live systems and from backups within a further 90 days, except where retention is required by law.
- Sections 8, 10, 13, 14, 15, 16 and 17 survive termination.
What we promise, and what we do not
We warrant that the Service will perform materially as described on the Features page for your plan, and that we will provide it with reasonable skill and care. Your remedy for breach of this warranty is for us to correct the non-conformity, or, if we cannot do so within a reasonable time, to terminate and refund fees paid for the period in which the Service did not conform. Except for these express warranties, and for any warranty that cannot be excluded under the CPA, the Service is provided "as is" and we exclude all other warranties, including fitness for a particular purpose. We do not warrant that the Service will meet your specific requirements or be error-free.
The limits on our liability
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, or for any liability that cannot be limited under South African law, including under the CPA.
- Subject to the point above, neither party is liable to the other for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings, however arising.
- Subject to the two points above, each party's total aggregate liability arising out of or in connection with these Terms in any 12-month period is limited to the fees paid by the Customer to us in that period, or ZAR 10 000 if greater.
- The limit above does not apply to fees you owe us, to your obligations under section 15, or to your or your Users' breach of section 5.
Who covers what
- You will defend us against any third-party claim arising from Customer Data, from your or your Users' breach of section 5 or of applicable law, and will pay damages finally awarded or agreed in a settlement you approve.
- The indemnified party must give prompt notice of the claim, allow the indemnifying party to control the defence, and give reasonable assistance. The indemnifying party may not settle a claim in a way that admits fault by, or imposes an obligation on, the indemnified party without its written consent.
How disagreements are resolved
These Terms are governed by the laws of the Republic of South Africa. The parties will first try to resolve any dispute through good-faith discussion between senior representatives within 30 days of written notice of the dispute. If that fails, either party may refer the dispute to mediation under the rules of the Arbitration Foundation of Southern Africa, or, where mediation does not resolve it, to the courts of South Africa. Nothing in this section prevents either party from seeking urgent interim relief from a court, or prevents a consumer from using the remedies available under the CPA, including the National Consumer Commission and the Consumer Goods and Services Ombud.
Other important terms
- Changes to these Terms. We may update these Terms. Material changes will be notified to your tenant administrator by email at least 30 days before they take effect, and each published version carries its own version number and effective date. Continued use after the effective date is acceptance of the new version. If you do not accept a change you may cancel before it takes effect.
- Consumer protection. Where the CPA applies to you, nothing in these Terms limits your rights under it, and any provision that conflicts with a non-excludable CPA right is read down to the extent needed.
- Electronic communications. You agree to receive notices by email to your tenant administrator's registered address. Notices to us go to legal@antsprojects.co.za. Emails are deemed received on the next business day.
- Assignment. You may not assign these Terms without our written consent, which we will not unreasonably withhold. We may assign them to a successor of our business on notice to you.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including load shedding, network failures outside its infrastructure, and acts of government, provided it takes reasonable steps to mitigate.
- Severability and waiver. If a provision is unenforceable, the rest of these Terms remain in force. A failure to enforce a right is not a waiver of it.
- Entire agreement. These Terms, the documents they incorporate, and any order form or signed agreement between us form the entire agreement and supersede all prior discussions.
- Language. These Terms are concluded in English. Any translation is for convenience only.
